ClockFence Subscription Terms
Pilot version. These terms cover the ClockFence pilot service and the founder pricing offered to pilot companies. They have been written in plain English and with care but have not yet been reviewed by a solicitor; they will be reviewed and reissued before ClockFence is offered more widely. Questions are welcome at hello@clockfence.co.uk.

Who we are: ClockFence is provided by Meridia Projects Ltd, a company registered in England and Wales (company number 17434937) with its registered office at 4-6 Greatorex Street, London, England, E1 5NF. In these terms, "we", "us" and "Meridia" mean Meridia Projects Ltd, and "you" means the business that holds a ClockFence account.
1. The agreement
By creating a ClockFence company account, or by using ClockFence on behalf of a business, you agree to these terms on behalf of that business. ClockFence is sold to businesses, not consumers. If you do not have authority to bind the business, do not create an account.
These terms, the Privacy Notice and, where you have signed one, the Data Processing Agreement together make up the whole agreement between us for the service.
2. The service
ClockFence is a web app your workers use to clock in and out of construction sites, with a live site board, timesheets, an exceptions queue for late starts, early finishes and missed clock-outs, exports, and optional worker invoicing. The features included in each plan are listed on the Company page in the app and on clockfence.co.uk.
ClockFence records attendance evidence. It is not a payroll, HMRC or CIS filing service, and it does not replace your own checks. You remain responsible for how you use the records, including for pay, deductions and disputes with your workers.
3. Accounts and people
- The person who creates the company account is the account owner. Only the owner can change the plan or billing details. Owners and managers must keep their sign-in details private.
- You are responsible for the people you add to your account and for telling them that ClockFence records their location at the moment they clock in or out. The Privacy Notice explains what is recorded.
- An active person is anyone on your Team list who is not archived. Archived people are not counted and their records are kept.
4. Plans and prices
Prices are in pounds sterling, per active person, per calendar month, and exclude VAT where it applies.
| Plan | Price | Notes |
|---|---|---|
| Free | £0 | Up to 5 active people, with no limit until 1 January 2027 (see Pilot free period). Clock-in and clock-out, live site board, weekly timesheet. |
| Crew | £29 a month for up to 7 active people, then £4 per additional active person | Everything in Free plus unlimited sites, CSV export and the exceptions queue. |
| Company | £7 per active person | Everything in Crew plus photo verification, multiple managers and payroll and accounts exports as they are released. |
| Founder rate | £2.50 per active person, no minimum | Pilot companies only. Everything in Company. Available to companies whose account was created before 1 January 2027, and kept for as long as the subscription stays active. |
| Invoicing add-on | £4.99 per worker a month | Optional, paid by the self-employed worker who uses it. Free during the pilot; one sent invoice a month stays free afterwards. |
Founder rate promise. If your company qualifies for the founder rate, we will not increase that per-person price while your subscription remains continuously active. If you cancel and later come back, the then-current prices apply. We may still add new paid features that are not part of Company.
Pilot free period. No pilot company is charged before 1 January 2027. If you add a card before then, the subscription starts as a free trial ending on that date and the first invoice is issued then. We will email you before the first charge.
No headcount limit during the pilot. Until 1 January 2027 the Free plan has no limit on active people, and no card is needed. After that date the Free plan covers 5 active people. If your company is on the Free plan with more than 5 active people, you must either choose a paid plan (the founder rate, if you qualify) or archive people down to 5. Until you do, you cannot add or reactivate anyone. Nobody already active is removed and no records are deleted.
5. Billing and payment
- Payment is by card, taken monthly in advance through Stripe Payments Europe Ltd. Card details are entered directly into Stripe; we never see or store full card numbers.
- Your invoice is based on the number of active people at the start of each billing month. Adding or archiving people during the month changes the next invoice, not the current one.
- If a payment fails, Stripe retries it over the following days and emails you. If it still fails, your account moves back to the Free plan. Nobody is removed and no records are deleted; the Free plan's limit of 5 active people then applies to new additions only.
- Invoices and receipts are available from the Invoices and card button on the Company page, which opens your Stripe billing portal.
- Prices for plans other than the founder rate may change. We will give at least 30 days' notice by email before a change affects an existing subscription.
6. Cancelling
You can cancel at any time from the billing portal. Your paid plan continues to the end of the month you have paid for and then moves to Free. We do not refund part months. You can also close the account entirely and ask us to delete your company's data; see the Privacy Notice for how and for what we must keep for tax purposes.
7. Fair use
You agree not to use ClockFence to break the law, to monitor people who have not been told about it, to attempt to access another company's data, to overload or interfere with the service, or to copy or resell it. We may suspend an account that is being misused, and will tell you why unless the law prevents it.
8. Your data
Your company's records belong to you. We act as a processor for your workers' data under the Data Processing Agreement and store everything in the United Kingdom. You can export your timesheets and clock events as CSV at any time on a paid plan, and we will provide a full export on request when you leave. Backups are taken nightly.
9. Availability and support
ClockFence is a pilot service. We aim for it to be available around the clock and will tell you about planned maintenance in advance, but we cannot promise uninterrupted service and do not offer a formal uptime guarantee during the pilot. Support is by email at hello@clockfence.co.uk and we aim to reply within one working day. Workers can always clock in and out while offline; the record is sent when the phone reconnects.
10. Ownership
ClockFence, its code, design, name and logo belong to Meridia Projects Ltd. You get a right to use the service for your business while you have an account, and nothing else. Feedback you give us may be used to improve the product without payment to you.
11. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law. Subject to that:
- We are not liable for loss of profit, loss of business, or indirect or consequential loss.
- We are not liable for decisions you make based on the records, including pay and deductions, or for a worker's phone reporting a wrong location.
- Our total liability to you in any 12-month period is limited to the fees you paid us in that period, or £100 if you are on the Free plan.
12. Ending the agreement
You can stop using ClockFence at any time. We can end the agreement with 30 days' notice by email, or immediately if you break these terms in a serious way or do not pay. If we close the service, we will give at least 60 days' notice and a full export of your data.
13. Changes to these terms
We may update these terms as ClockFence develops. If a change is material, we will email account owners at least 30 days before it takes effect. Continuing to use the service after that date means you accept the new terms. The founder rate promise in section 4 will not be removed by a change to these terms.
14. Law
These terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction, although we would much rather sort out any problem by talking first.
